Our Director Emeritus just passed away and we want to keep his name on our letterhead but somehow convey that he is deceased.

The guy is not available to direct anything if he's passed away so legally, his name must be removed.

Director Emeritus, John Smith, deceased 2008.

You should not capitalize the deceased part or if you like, you can put small letter d.2008

The company letterhead is not an appropriate place to indicate this status.

You should not change it at all. If you are asked, or if a contact or associate asks for the person, THEN you can explain that the person is deceased, but it is tacky to put it on the letterhead--the letterhead is not the place to explain things.

Sometimes people put "Late" in front of the name, or "In memorium". You could also say "We honour our Director Emeritus" and list his name. Those would respectfully convey his passing.

you could put his year of birth to year of death next to his name like 1930-2008
